Payment Service Agreement
This Payment Service Agreement (the "Agreement") is entered into by and between Flexo (referred to as "Provider") and the user (referred to as "User") who wishes to utilize the payment services provided by Provider (collectively referred to as the "Parties").
Services
Provider agrees to provide User with payment services, including the processing and facilitation of payments for goods or services, as well as related features and functionalities available through Provider's website or platform.
User Obligations
2.1 User Account
User agrees to create and maintain a valid user account with Provider. User is fully responsible for safeguarding their account credentials and ensuring the security of their account. Provider shall not be liable for any unauthorized access or misuse of User's account.
2.2 Compliance
User agrees to comply with all applicable laws, regulations, and industry standards related to accepting payments, including but not limited to data protection and privacy laws.
2.3 Payment Information
User shall provide accurate and up-to-date payment information, including bank account details or valid payment card information, required for the processing of payments. User acknowledges and agrees that Provider may rely on the accuracy and validity of the provided payment information.
Fees and Charges
3.1 Transaction Fees
User shall pay Provider transaction fees as outlined in Provider's fee schedule. The applicable fees will be deducted from the payment amounts processed for User.
3.2 Changes to Fees
Provider reserves the right to modify its fee schedule upon notifying User in advance. User shall have the option to accept the modified fees or terminate this Agreement.
Limitation of Liability
4.1 Service Availability
Provider shall make commercially reasonable efforts to ensure the availability and reliability of its payment services. However, Provider does not guarantee uninterrupted or error-free service. Provider shall not be liable for any temporary unavailability, system failures, or disruptions that occur beyond its reasonable control.
4.2 Indirect Damages
In no event shall Provider be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with this Agreement or the use of its payment services.
Termination
5.1 Termination for Convenience
Either Party may terminate this Agreement at any time by providing written notice to the other Party. Upon termination, User shall settle all outstanding fees owed to Provider.
5.2 Termination for Cause
Provider may terminate this Agreement and suspend or close User's account immediately if User breaches any material term of this Agreement or engages in any fraudulent or illegal activities.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the courts of [Jurisdiction].
Entire Agreement
This Agreement constitutes the entire agreement between Provider and User relating to the provision of payment services and supersedes all prior or contemporaneous oral or written agreements, understandings, or representations.
By accepting this Agreement, User acknowledges that they have read, understood, and agreed to be bound by its terms and conditions.
